Introduction

Welcome to The Perfect UX. These Terms and Conditions govern the use of all products and services offered by The Perfect UX (TPUX). By engaging our UX audit services, you acknowledge and agree to be bound by these terms:

By accessing our websites—including tpux.com and its subdomains—you acknowledge and agree to be bound by these terms.

1. Scope of Services

We provide comprehensive UX audit services, including but not limited to:

• Usability testing

• Heuristic evaluations

• User research and analytics analysis

• Accessibility assessments

• Design recommendations

Specific deliverables and timelines will be outlined in a separate Scope of Work agreement.

2. Fees and Payment

Fees for our services will be specified in the Scope of Work. Payments are due upon receipt of invoice and are non-refundable unless otherwise agreed upon.

3. Only Business E-Mail Addresses are Permitted

As The Perfect UX (TPUX) operates exclusively as a B2B service provider, catering solely to organizations engaged in digital commerce—both for-profit and non-profit, whether formally registered or not. We do not serve individual consumers or general users of digital services. As such, access from public or personal email domains (e.g., Gmail, Yahoo, Hotmail, ProtonMail, etc.) may be restricted or denied.

4. Communication

TPUX may display a client’s company name and/or logo on its website, marketing materials, or testimonial sections. If you prefer not to be featured, simply notify us by emailing hello@theperfectux.com.

5. Intellectual Property

• Client Materials: All materials provided by the Client remain the property of the Client.

• Deliverables: Upon full payment, the Client will own the final deliverables.

• Agency Tools: We retain ownership of any proprietary tools or methodologies used during the audit process.

  
  

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information and not disclose it to third parties without prior written consent.

7. Limitation of Liability

Our liability is limited to the total amount paid by the Client for the specific services that gave rise to the claim. We are not liable for indirect, incidental, or consequential damages.

Each party’s liability is limited solely to direct damages suffered by the other.

Under no circumstances shall either party be held liable to the other for any lost profits, revenue, or for any indirect, incidental, consequential, special, exemplary, or punitive damages—whether resulting from contract breach, data loss, negligence, or other causes—even if such damages were foreseeable or previously disclosed. This limitation remains valid even if any remedy fails in its essential purpose. 

However, it does not apply to fees, charges, or other amounts owed to TPUX under this agreement.

8. Force Majeure

Neither party shall bear liability for any delay or failure to fulfill obligations if caused by factors beyond their reasonable control.

9. Data Protection

We are committed to protecting the Client's data in compliance with applicable data protection laws. Specific data handling practices will be detailed in our Data Processing Agreement.

10. Termination

Either party may terminate the agreement with written notice. Upon termination, the Client agrees to pay for all services rendered up to the termination date.

11. Governing Law

These terms are governed by the laws of Karnataka, India, and any disputes will be resolved in the competent courts under the legal jurisdiction of Commercial Court of Karnataka, India.

12. Design Solution Disclaimer

Designs provided by The Perfect UX (TPUX) are mid- to high-fidelity mockups offered as complimentary guidance for Premium and Quarterly Audit clients. These mockups may include placeholder text and lack finalized branding. They are non-final, self-actionable suggestions and not intended as complete or implement-ready solutions.

A Competitor Audit and a Quarterly Audit can only be done post a successful Premium Audit.

The Competitor Audit can also be a Quarterly Audit and interpolated quarter by quarter, however these audit reports will be interpolated against the main Premium Report to showcase where the pitfalls, loopholes and possible unbiased advantages and disadvantages either one has over each other.

13. Demo Audits

• A Demo Audit will not contain any design solutions.

• A Demo Audit will and can only be done once ever.

14. Amendments

We reserve the right to amend these terms at any time. Clients will be notified of significant changes.
